1. Overview

These Terms of Service (“Terms”) govern the relationship between you (“Client”, “you”) and Growpad.pro (“Growpad”, “we”, “us”), regarding access to and use of our SEO and growth marketing services.

By using our services, you agree to these Terms and confirm that you are acting in a professional or business capacity.

2. Services

Growpad.pro provides SEO consulting, strategy development, analytics setup, and optimization services, primarily for SaaS and B2B technology companies.

The exact scope, deliverables, timelines, and fees are set out in a separate Service Agreement or Proposal.

3. Client Obligations

The Client agrees to:

• Provide accurate and timely information required for project delivery.

• Ensure lawful access to any accounts shared (e.g., Google Analytics, Search Console).

• Use deliverables lawfully and not for misleading or unethical marketing.

Growpad.pro is not responsible for delays caused by incomplete client input.

4. Fees and Payment

• Fees are stated in the Service Agreement or invoice.

• Unless agreed otherwise, invoices are payable within 10 calendar days.

• All prices exclude applicable VAT under Spanish tax law.

5. Intellectual Property

• Deliverables (e.g., reports, keyword research) become the Client’s property upon full payment.

• Our methodologies, software, and internal frameworks remain Growpad.pro’s intellectual property.

• The Client may not reproduce, sublicense, or redistribute proprietary tools or templates without written consent.

6. Confidentiality

Both parties must keep confidential any non-public, business, or technical information received during the engagement.
This obligation survives termination of the agreement.

7. Limitation of Liability

To the maximum extent permitted by law:

• Growpad.pro shall not be liable for any indirect or consequential damages, including lost profits or data.

• Total liability shall not exceed the total fees paid by the Client during the three months preceding the claim.

8. Warranties & Disclaimers

While Growpad.pro uses best-practice SEO methodologies, we do not guarantee specific search engine rankings or performance results, as these depend on factors outside our control (e.g., algorithm updates, third-party platforms).

9. Term and Termination

• Either party may terminate with 30 days’ written notice.

• We may suspend or terminate immediately for non-payment or material breach.

• Upon termination, outstanding fees become immediately payable.

10. Governing Law and Jurisdiction

These Terms shall be governed by the laws of Spain, excluding conflict of law rules.
Any dispute shall be subject to the exclusive jurisdiction of the courts of Madrid, unless otherwise required by applicable consumer law.

For U.S. clients, Growpad.pro may alternatively apply Delaware law under mutual agreement.

11. Modifications

We may update these Terms at any time. The latest version will be published at https://www.growpad.pro. Continued use of the Services after changes implies acceptance of the new Terms.
